The \u201c28th regime\u201d aims to enhance cross-border mobility,\u00a0investment\u00a0and innovation, enabling businesses to reap the benefits of the single market.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">In this context, the European Commission presented EU Inc., a new,\u00a0optional\u00a0and\u00a0harmonised\u00a0limited liability company form, which will be provided for in the legal order of each Member State and will\u00a0operate\u00a0alongside existing national company forms. Its purpose is to provide businesses with a single corporate legal framework,\u00a0facilitating\u00a0their incorporation,\u00a0operation\u00a0and growth within the single market. The new corporate regime will consist of a\u00a0harmonised\u00a0set of rules, applicable throughout the European Union, covering relevant aspects of corporate, insolvency,\u00a0labour\u00a0and tax law, while also offering simplified procedures for incorporation,\u00a0governance\u00a0and dissolution.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">The significance of this reform is underlined by the fact that entrepreneurs and innovative companies currently face a fragmented corporate legal landscape. With 27 national legal systems and more than 60 company forms, setting up a company can take weeks or even months, slowing growth and increasing costs. EU Inc.\u2019s single\u00a0harmonised\u00a0set of corporate rules will mean that companies will no longer need to navigate multiple national regimes. It will enable them to incorporate,\u00a0operate\u00a0and grow within the European Union. Its optional and fully digital procedures will\u00a0facilitate\u00a0innovative companies in\u00a0scaling up\u00a0more rapidly,\u00a0incentivising\u00a0them to remain in Europe, while also encouraging the return of businesses that had previously looked to other markets. In this way, the true potential of the single market will be\u00a0unlocked\u00a0and growth and competitiveness will be strengthened. Although designed\u00a0in particular for\u00a0innovative companies and start-ups, the regime will be available to any founder who considers it suitable, alongside existing national company forms.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">Among the key features of the proposal is the faster and simpler incorporation of companies. The proposal for the EU Inc. corporate legal framework provides for the possibility of incorporating a company through a\u00a0fast-track procedure within 48 hours, at a maximum cost of EUR 100, with no minimum share capital requirement and by submitting company information only once, through an EU-level interface. The procedure will be fully digital, using\u00a0harmonised\u00a0forms and model articles of association, with the possibility of tracking the progress of registration in real time.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">EU Inc. is also based on the principle of fully digital operation throughout the company\u2019s lifecycle, while simplified procedures are\u00a0provided for\u00a0throughout that lifecycle, from incorporation to dissolution and liquidation. The new regime will be supported by digital infrastructure, such as the EU-level central digital interface through BRIS, the European Business\u00a0Wallet\u00a0and interoperability systems with existing infrastructure, such as the Single Digital Gateway.\u00a0Particular emphasis\u00a0is placed on\u00a0facilitating\u00a0a faster and less costly restart for founders, through simplified dissolution and liquidation procedures, so that founders can test innovative business ideas and, where necessary, start again without excessive administrative and financial burdens.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">Another\u00a0important element\u00a0of the new framework is the creation of better conditions for attracting investment. The proposal provides for the removal of in-person formalities, the provision of digital procedures for financing and capital operations, as well as easier digital transfers of shares. At the same time, it supports the use of modern financing instruments, including\u00a0standardised\u00a0SAFE-type agreements, and gives Member States the possibility to allow EU Inc. companies to access public capital markets, subject to the applicable requirements of EU and national law.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">EU Inc. also aims to strengthen access to the single market. Founders will be able to freely choose the Member State in which to incorporate the company, while the company will be\u00a0recognised\u00a0in all EU Member States. The company will have its registered office in a Member State of the Union and will be able to make use of cross-border mobility rules,\u00a0in particular through\u00a0cross-border conversions,\u00a0mergers\u00a0and divisions,\u00a0in accordance with\u00a0the applicable EU framework.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">The proposal also includes safeguards against abuse. National\u00a0labour\u00a0and social law rules are not affected by the new framework, while the applicable safeguards of the Member State of registration will apply in full to the EU Inc. company. In the same context, the automatic transmission of company data to\u00a0the competent\u00a0authorities is introduced\u00a0in accordance with\u00a0the once-only principle, while safeguards against fraud and abuse are also provided for.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">Particular importance\u00a0is also attached to the provision for the establishment of a common optional regime for employee stock options, with the aim of enabling EU Inc. companies to attract and\u00a0retain\u00a0highly skilled talent. This regime will allow EU Inc. companies to offer employees and members of management participation in the company\u2019s growth, with taxation deferred until the disposal of the underlying shares,\u00a0so as to\u00a0avoid taxation without actual income.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">In addition to the proposal for a Regulation itself, the European Commission also issued a related Communication, outlining ongoing and future initiatives to complete the 28th regime in other policy areas. Among other measures, the Commission proposes the maximum possible\u00a0digitalisation\u00a0of interactions between companies and public authorities and calls on Member States to consider establishing\u00a0specialised\u00a0judicial chambers or courts for EU Inc. company law disputes, with a view to ensuring the uniform and effective application of the new framework.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">In the context of the policy debate held at the EU Competitiveness Council on the Regulation concerning the 28th Regime Corporate Legal Framework, the competent ministers and representatives of the Member States welcomed the proposal and underlined the benefits of a simplified digital company law regime. At the same time, many delegations stressed the need to\u00a0establish\u00a0strong safeguards to prevent fraud, tax\u00a0evasion\u00a0and money laundering. Some delegations pointed to the importance of choosing the\u00a0appropriate legal\u00a0basis\u00a0in\u00a0order to\u00a0ensure legal certainty in areas such as taxation,\u00a0minimum\u00a0share\u00a0capital\u00a0and insolvency, while several delegations highlighted the importance of respecting national rules in areas such as\u00a0labour\u00a0rights.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">Given the particular importance of the proposal for the EU\u2019s competitiveness, the Commission has called on the European Parliament and the Council to reach an agreement on EU Inc. by the end of 2026, a target which most delegations in the Competitiveness Council expressed their
