S. Mouzoulas, Hellenic Law 3016/2002 on Corporate Governance, 2003
The book attempts, through an article-by-article interpretative approach to the provisions of Law No. 3016/02, on corporate governance, as in force after Law 3016/02. 3091/02 to delimit the scope of the new obligations imposed on companies listed on the Athens Stock Exchange. At the same time, it highlights the specific issues that the implementers of the new legislation will have to deal with, in relation to the existing provisions of company and stock exchange law. Special analyses have also been devoted to special purpose companies, such as credit institutions or investment holding companies, with the interpretation of the legislative or regulatory texts relevant to these companies. With a view to integrating the new corporate governance system of Greek listed companies into the general international context, the Greek institutional framework is assessed separately from the perspective of institutional investors, with references to those in force in foreign jurisdictions.
